Equipment Rental Terms & Conditions

These Equipment Rental Terms & Conditions ("Rental Terms") apply to equipment rented from iMediaSign LLC ("iMediaSign," "we," "us," or "our") and form part of each applicable quote, order, invoice, rental agreement, or other agreement between iMediaSign and the customer ("Customer").

By accepting a quote, authorizing an order, making a required payment, or accepting delivery of rental equipment, Customer agrees to these Rental Terms unless otherwise provided in a written agreement executed by iMediaSign.

If an accepted quote or separately executed agreement conflicts with these Rental Terms, the terms of the accepted quote or executed agreement will control with respect to that conflict.

1. Rental Equipment and Services

iMediaSign provides digital displays, touchscreen displays, kiosks, stands, media equipment, accessories, networking equipment, computers, and other event or technology equipment ("Equipment").

A rental may also include services such as:

  • Delivery
  • Installation
  • Equipment positioning
  • Configuration
  • Content preparation
  • Content loading
  • Testing
  • On-site or remote support
  • Content management
  • Equipment removal and pickup

The Equipment and services included in a rental will be identified in the applicable quote or order.

2. Quotes and Reservations

Quotes are based on the information available when they are prepared and may be subject to equipment availability.

A request for a quote does not reserve Equipment.

Unless otherwise stated in writing, Equipment is considered reserved only after Customer accepts the applicable quote or agreement and iMediaSign receives any required deposit or payment.

Quotes may expire on the date indicated on the quote.

3. Rental Period

The rental period begins and ends on the dates specified in the applicable quote or order.

Delivery and pickup dates may occur before or after the event dates and do not necessarily change the rental period or price.

Extensions are subject to Equipment availability and may result in additional charges.

Customer should contact iMediaSign as soon as possible if an event schedule changes.

4. Pricing

Rental pricing is based on factors that may include:

  • Equipment type and quantity
  • Rental duration
  • Event location
  • Delivery requirements
  • Installation requirements
  • Venue access
  • Labor
  • Content services
  • Technical support
  • Required accessories
  • Other project requirements

Changes to these requirements may result in revised pricing.

Unless expressly stated otherwise, taxes, venue-imposed charges, parking, loading-dock fees, union labor, drayage, electrical services, Internet services, permits, and similar third-party expenses are not included in the rental price.

5. Payment

Payment requirements will be specified in the applicable quote, invoice, or agreement.

Unless different terms are stated in writing by iMediaSign, iMediaSign may require a deposit or partial payment to confirm a reservation, with the remaining balance due according to the payment schedule stated on the applicable invoice or agreement.

Customer is responsible for paying invoices when due.

Past-due amounts may be subject to reasonable collection costs and other remedies permitted by law or the applicable agreement.

6. Cancellation and Rescheduling

Cancellation and rescheduling terms may be specified in the applicable quote or agreement.

Because Equipment may be reserved specifically for an event and iMediaSign may incur preparation, staffing, transportation, or other costs before delivery, deposits and payments may become partially or fully non-refundable as the event date approaches.

If no separate cancellation schedule is included in the applicable quote or agreement, iMediaSign will determine any refund based on work already performed, expenses incurred, Equipment reserved, and the amount of notice provided.

Requests to reschedule are subject to Equipment and personnel availability.

Amounts already paid may, at iMediaSign's discretion, be applied toward a rescheduled event.

7. Delivery and Venue Access

Customer is responsible for providing accurate information regarding:

  • Delivery address
  • Venue
  • Event room or booth location
  • Loading dock
  • Loading and unloading procedures
  • Delivery windows
  • Security procedures
  • Parking
  • Venue contacts
  • Required credentials
  • Union or labor requirements
  • Installation restrictions
  • Pickup requirements

Customer must ensure that iMediaSign personnel can reasonably access the delivery and installation location at the agreed time.

Additional waiting time, return trips, parking charges, venue charges, labor requirements, or other expenses resulting from incomplete or inaccurate access information may be charged to Customer.

8. Customer Pickup

Unless expressly agreed to by iMediaSign in writing, rental Equipment is delivered and collected by iMediaSign or its authorized service providers.

Customer pickup or return is not part of the standard rental service.

9. Installation and Placement

When installation is included, iMediaSign will position and configure Equipment in the agreed location.

Customer is responsible for obtaining venue approval for Equipment placement.

iMediaSign may decline to install Equipment where, in our reasonable judgment, installation would be unsafe, violate venue requirements, create an unreasonable risk of damage, or interfere with required access or emergency pathways.

10. Electrical and Network Requirements

Customer or the venue must provide suitable electrical service unless otherwise agreed.

Internet-connected services may require reliable wired or wireless connectivity.

iMediaSign is not responsible for service interruptions caused by:

  • Venue Internet connectivity
  • Venue network restrictions
  • Wireless interference
  • Firewalls
  • Internet service providers
  • Power interruptions
  • Third-party network systems
  • Other infrastructure outside iMediaSign's reasonable control

11. Equipment Care

Customer must use reasonable care to protect Equipment while it is at the event or Customer-controlled location.

Customer must not:

  • Move Equipment without authorization when doing so could create a safety or damage risk
  • Disassemble Equipment
  • Modify Equipment
  • Remove identification labels
  • Install unauthorized software
  • Alter Equipment configuration without permission
  • Connect unauthorized devices that could damage Equipment
  • Allow Equipment to be used in unsafe conditions

Customer should promptly notify iMediaSign of Equipment damage, malfunction, loss, or theft.

12. Loss and Damage

Customer is responsible for loss of or physical damage to Equipment occurring while Equipment is under Customer's custody or control, except for ordinary wear, inherent Equipment failure, or damage caused by iMediaSign.

Customer may be responsible for reasonable repair or replacement costs resulting from loss, theft, misuse, negligence, unauthorized modification, liquid damage, impact damage, or other physical damage.

Customer must reasonably cooperate with iMediaSign regarding any insurance claim, incident report, venue report, or police report associated with lost or stolen Equipment.

13. Equipment Malfunction

Customer should promptly notify iMediaSign if Equipment malfunctions.

iMediaSign will make commercially reasonable efforts to troubleshoot, repair, replace, or otherwise resolve Equipment problems.

The appropriate remedy will depend on the circumstances, location, Equipment availability, timing, and nature of the failure.

14. Equipment Substitution

Equipment availability may occasionally change because of damage, transportation issues, prior-event delays, maintenance, or other circumstances.

iMediaSign may provide comparable or upgraded Equipment when reasonably necessary to fulfill a rental.

We will not intentionally substitute Equipment in a manner that materially reduces the functionality required for the Customer's agreed use.

15. Customer Content

Customer is responsible for content supplied for display through rented Equipment.

Customer represents that it has the rights and permissions necessary to use and display the content.

Customer must not provide content that violates applicable law, infringes intellectual-property rights, violates privacy rights, or contains malicious software.

Customer grants iMediaSign permission to copy, resize, convert, configure, transmit, store, or otherwise process Customer-provided content as reasonably necessary to prepare and operate the rental.

16. Content Preparation

When content preparation or preloading is included, Customer must provide content by any deadline communicated by iMediaSign.

Late content may limit our ability to test or prepare Equipment before delivery.

Substantial content changes, design work, programming, interactive development, or changes requested after Equipment preparation may require additional fees.

17. Third-Party Applications and Services

Equipment may be configured to interact with Internet services, websites, applications, networks, or technology supplied by third parties or by Customer.

iMediaSign does not guarantee the continuous availability or performance of third-party systems outside our control.

18. Event and Venue Conditions

iMediaSign is not responsible for conditions controlled by Customer, event organizers, venues, decorators, general contractors, Internet providers, electrical providers, security personnel, unions, or other third parties.

Customer is responsible for identifying applicable venue requirements before the event.

19. Force Majeure

Neither party will be liable for failure or delay caused by circumstances beyond its reasonable control, including severe weather, natural disasters, governmental actions, transportation disruptions, public emergencies, civil disturbances, utility failures, telecommunications failures, venue closures, or similar events.

When practical, the parties will work in good faith to determine whether the rental can be rescheduled or otherwise adjusted.

20. Disclaimer

Except for warranties expressly stated in an applicable written agreement, Equipment and services are provided to the maximum extent permitted by law without additional express or implied warranties.

iMediaSign does not guarantee that third-party Internet services, venue networks, Customer applications, websites, or external systems will operate without interruption.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMEDIASIGN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, LOST DATA, OR LOSS OF EVENT REVENUE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMEDIASIGN'S AGGREGATE LIABILITY ARISING FROM A RENTAL WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE TO IMEDIASIGN FOR THE RENTAL GIVING RISE TO THE CLAIM.

This limitation does not apply where liability cannot legally be limited.

22. Indemnification

To the extent permitted by law, Customer agrees to indemnify and hold harmless iMediaSign and its officers, employees, contractors, and agents from third-party claims arising from:

  • Customer Content
  • Customer's unlawful use of Equipment
  • Customer's violation of these Rental Terms
  • Customer's infringement of third-party rights
  • Customer's negligence or intentional misconduct

23. Ownership

All rental Equipment remains the property of iMediaSign or its applicable owner.

No ownership interest in Equipment is transferred to Customer through a rental.

24. Governing Law

These Rental Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

To the extent permitted by law, disputes relating to these Rental Terms will be subject to the appropriate state or federal courts located in Florida.

25. Entire Agreement

These Rental Terms, together with the applicable accepted quote, order, invoice, statement of work, or other executed agreement, constitute the agreement regarding the applicable rental.
